• This plan is offered by Indiamap Digital Pvt Ltd ("Indiamap Digital"), a company registered in Karnataka, India to the company or person named in the order ("Customer"). Orders and agreements are with the company and valid on acceptance.
• These terms and conditions along with order details and plan specification together form the agreement ("Agreement" or "Order") for delivery of products, platforms and services by Indiamap Digital to Customer.
• Communications, agreements and invoices will be provided electronically by email from an official email address @indiamapdigital.com or by online download from a website of the company with domain name indiamapdigital.com.
• Communications to Indiamap Digital are through websites and platforms provided or by email to the Customer Care and Account Management teams. For escalation of any requests communications may be sent to care@indiamapdigital.com.
• All prices and amounts are in Indian Rupees.
• Plan will be active for a period of 12 months (365 days) for the annual plan, 90 days for quarter plan and 30 days for monthy plans and may be renewed as per agreement.
• Plan will become operational from the date of acceptance of the order and receipt of signed / online order and payments as applicable.
• Any bonus days or months offered in the plan will be provided exclusively to eligible customers and will be applied at the end of the plan period.
• Plan and its services are non-transferrable except when there is change of name, sale or merger of the legal entity with another legal entity.
• Payments made under this plan are not eligible for refunds. Any amounts that are credited back by Indiamap Digital will be provided as credits and adjusted against further invoices.
• Taxes and statutory levies on delivery of products and services such as GST are additional to the sale amounts and listed separately in the invoices.
• GST Invoices and Proforma invoices will be provided to customers if GST Numbers are provided.
• Terms of this proposal are exclusive, non-transferrable and confidential.
• Products and services are provided in the plan in combination and scope defined for each. Pricing and scope is for the complete plan. Unused services and quotas cannot be exchanged, removed or replaced and do not carry forward.
• Specifications, deliverables, scope of work, prices and terms are subject to change without prior notice and are as listed on Indiamap Digital websites from time to time.
• Additional or amended specifications, deliverables, scope of work, prices and terms specifically agreed to and accepted by Indiamap Digital remain valid for one year from the date of the agreement and are exclusive to Customer.
• Indiamap Digital provides products, technologies and services on agreed terms and scope of deliveries. Indiamap Digital does not provide any guarantees or assurances on results and performance from the use of these products and services.
• Indiamap Digital does not bear responsibility or liabilities for any losses, damages or costs incurred by Customer arising from use of the products and services provided under this agreement.
• At all times liability of Indiamap Digital for any losses, damages or costs are limited to the total amounts received from Customer under this agreement.
• Indiamap Digital has a team for customer coordination. Only these members of the team are authorized to discuss with the customer. Members of this team will coordinate with other members of our team to complete work and deliver services needed. Customers may not contact any other member of the team who is not assigned and authorized for customer coordination. Customers may also not contact any member of our organization other than through the website, apps, emails and telephone numbers provided for customer coordination.
• Indiamap Digital and Customer agree to maintain private, confidential and proprietary information in complete secrecy and confidentiality unless the information is known to be in the public domain or has been approved for disclosure by the disclosing party. Indiamap Digital and Customer agree to apply the same standards for the handling of confidential information as they would if this information were their own.
• Indiamap Digital and Customer agree to not solicit or work with any member of the other's organization outside of this agreement during the tenure and for a period of two years from the date of conclusion of this agreement.
• Either party to this agreement may terminate the agreement with a one month notice to the other communicated by email.
• Designs, code, created content and other assets, other than information provided by the customer for the engagement remain the exclusive property of Indiamap Digital until fully paid as per the order and agreement.
• In the event of termination of the agreement Customer may download, transfer and use the designs, content, data generated through this Plan using the interfaces provided, subject to full payment having been received by Indiamap Digital for these.
• Products, services, software, platforms, technologies, processes, methods, tools and intellectual property provided or used to create the digital properties and assets, carry out digital marketing campaigns, create content, deliver products and services, and manage the program are owned or licensed by Indiamap Digital and remain the ownership and intellectual property of Indiamap Digital Pvt Ltd and its licensors and are not sold, transferred, assigned or leased as part of this plan. Indiamap Digital provides these to Customers for their exclusive use with a limited license during the tenure of the plan.
• Indiamap Digital chooses the technologies and platforms and updates and changes them to meet market and technology requirements. Indiamap Digital reserves the right to change these from time to time as necessary without notifying customers. Indiamap Digital will ensure that services and access are not disrupted due to these.
• Products, platforms and technologies provided by Indiamap Digital are part of our product and platform infrastructure that is provided to our customers. These cannot be customized or modified for Customers. They are enhanced and updated regularly and these become available to Customers automatically. Limited customization is possible using Settings and Configuration that is provided in our products and platforms and these may be used by Customers for individual preferences and controls.
• Indiamap Digital has a strict policy and requirement for legal and ethical business practices. We reserve the right to determine, halt, disable and disconnect any content, processes, technologies and displays if these are deemed to be harmful, unsafe, inappropriate or damaging to Indiamap Digital and its Partners and Customers or are in violation of any laws.
• Customers agree to only publish, communicate and use Indiamap Digital services, infrastructure, platforms and technologies in a legal and ethical manner and ensure that all people and agencies that have access to these for update and management follow the same and are subject to the same legal provisions as this agreement.
• Indiamap Digital provides the technologies, infrastructure, products, platforms and services to Customers and is not responsible for the content, use, display and promotion of these under the safe harbour framework. Customer indemnifies Indiamap Digital from any litigation, suits, charges, costs and liabilities that may arise from these.
• Indiamap Digital maintains strong security practices and uses technologies for cybersecurity to ward off attacks, hacks, spam and intrusions. Indiamap Digital is not responsible for damages, losses or liabilities to Customers in the event of such occurences.
• Products and services provided are non-dedicated and operate on a common platform of technologies and infrastructure owned and operated by Indiamap Digital and its partners.
• Deliveries of products, services and data, and communications and transactions are conducted electronically using digital technologies unless explicity agreed to in specific instances.
• Sales, customer care and interactions are conducted using digital platforms and technologies including websites, email, messaging, voice and video. No on-site or on-premise interactions, visits or service delivery are included in this plan.
• All brand names mentioned in this proposal are property of their respective owners.
• In the event of natural calamities, war, government restrictions and other conditions that cannot be determined to be within Indiamap Digital's control, force majeure will apply and Indiamap Digital's ability to service will be on a best effort basis only.
• This contract and its terms and stipulations are subject to change and may require further acceptance by Customers in these events.
• Disputes will be resolved through mutual discussions and agreement, followed by arbitration. Legal recourse will be sought only in case of failure of arbitration to resolve the dispute.
• This contract and its terms are governed by the laws of the Government of India. Courts of Karnataka will have jurisdiction for redressal.

If we pay the initial Rs 25,000 then we should be able to manage the store / website on our own.

The initial payment of Rs 25,000 is only part of our payment plan. The cost of our services is more than these and we cover the cost of the services over the duration of the plan which is 1+12 months. Our costs are not addressed until the complete plan amount of Rs 25,000 and 12 monthly amounts of Rs 6250 have been received. On completion of the plan period all the data in the website / store are available for you to migrate if you would like to. Software, source code and technical details are not provided at any stage. The data, pages content, images, videos and documents that are part of the website and store can be provided along with the design / layout instructions.

What is your policy after the plan period is complete?

Once the plan duration of 1+12 months is complete we recommend that you continue with the monthly subscription of Rs 6250 per month so that we can continue to provide support and assistance and you can also get the benefits of ongoing brand promotion and SEO. This ongoing cost is a small expense for a growing brand and business and provides large benefits and maintains the momentum that have have developed. In case you still wish to discontinue these you can maintain these on our infrastructure for an annual cost of Rs 3499 for a website and Rs 19999 for a store with fair usage policy.

What is Fair Usage Policy?

Fair Usage Policy is that when services are provided and scope and quotas defined these always do not reflect various business and technical dynamics and events that can unexpectedly occur later and impact our infrastructure, services and costs in ways that we are not able to visualize presently. In such instances additional costs maybe applicable to cover the additional costs that we need to incurr to support the services. Fair Usage Policy applies in these instances and we reserve our rights to levy additional costs to compensate for our losses or discontinue services in case these are creating additional loads and costs for us that we are not able to absorb.

Our plan is designed and detailed to be comprehensive and provide a strong digital infrastructure foundation that is needed for sales growth, brand expansion and digital marketing. The plan is presently available only in its complete form. If some specific services in the plan are not needed we can disable them. However this does not change the pricing and payment plan.

What is your refund policy?

Once any services have been initiated the time involved from our team and the costs of these services are booked by us and we cannot reverse or reuse them. We do not provide any refunds for any payments made.
